Senior Compliance Officer – Private Credit | Boston, MA | Hybrid

Our client, a leading global private investment firm with $200B+ in assets under management, is seeking a Senior Compliance Officer to serve as the primary compliance officer for its growing Private Credit platform.

This is a high-visibility opportunity for a seasoned compliance professional to take ownership of the compliance program supporting BDCs, private funds, separately managed accounts, and CLOs focused on direct lending and private credit strategies.

The Opportunity

  • Serve as the primary compliance officer for the Private Credit business, reporting directly to the Chief Compliance Officer
  • Own the design, implementation, testing, and ongoing oversight of the Investment Company Act Rule 38a-1 compliance program and applicable Advisers Act 206(4)-7 requirements
  • Conduct pre-transaction compliance reviews for private credit investments, including co-investment and affiliated transaction requirements
  • Prepare and present quarterly and annual compliance materials to BDC Boards and independent directors
  • Partner directly with portfolio managers, deal teams, legal, finance, and operations throughout the investment lifecycle
  • Lead regulatory examination readiness, annual compliance reviews, and ongoing program testing
  • Develop and enhance compliance policies, procedures, controls, and monitoring processes as the platform continues to scale
  • Provide oversight of third-party service providers, outside counsel, and junior compliance professionals
  • Play a key role in strengthening and scaling the broader Private Credit compliance infrastructure

What We’re Looking For

  • 8–12+ years of compliance experience within an investment adviser, registered fund complex, private fund manager, asset management law firm, or the SEC
  • Demonstrated experience with Investment Company Act Rule 38a-1 compliance programs; BDC experience strongly preferred
  • Strong knowledge of the Investment Company Act of 1940, including Sections 17/57, co-investment, affiliated transactions, and fund governance
  • Direct experience with private credit, direct lending, private debt, or related investment strategies
  • Experience preparing and presenting compliance materials to registered fund boards and independent directors
  • Strong ability to partner with investment professionals and provide practical, solutions-oriented compliance guidance
  • Experience working across investment, finance, operations, and legal functions
  • Demonstrated ability to operate independently, identify risks and gaps, and drive initiatives through completion
  • Strong communication, organizational, and relationship-building skills

Schedule: Hybrid
Compensation: Competitive base salary ($180,000-200,000) + bonus
