Contracts Counsel
We are currently seeking candidates for a Contracts Attorney opportunity with a top-tier Investment Management firm located in Boston, MA. The Contracts Counsel will draft, review, revise, and negotiate general and complex corporate agreements for the organization. The Contracts Counsel will be involved with a variety of corporate agreements, including NDAs, SaaS agreements, subscriptions, market data agreements, leases, engagement letters with auditors, consulting agreements, data protection agreements, fund operations agreements, employment search agreements, and event agreements. The Contracts Counsel must have 5-10+ years of post JD experience, and will have experience working in financial services.
This is a 3-4 month contract-to-hire position, paying between $100-$120/hour (depending on experience).
This role supports a hybrid work model (on-site 3 days/week and remote 2 days/week).
Responsibilities:
- Draft, review, revise, and negotiate corporate agreements, including NDAs, SaaS agreements, subscriptions, market data agreements, leases, engagement letters with auditors, consulting agreements, data protection agreements, fund operations agreements, employment search agreements, and event agreements.
- Counsel internal clients on contract disputes with vendors, and work closely with senior leaders to develop solutions and settlements.
- Review long-term and short-term lease agreements for the organization.
- Maintain strong understanding of risk tolerance of functions throughout the firm. Create and maintain standard contract terms to reflect the needs of each department.
- Partner with internal stakeholders to create standard contract templates (as needed).
- Contribute to high-priority and high-visibility corporate policy initiatives, operations, and vendor relationships.
- Support special projects, additional legal matters, and general corporate proceedings as needed.
- Provide legal support for new office openings throughout the United States and international jurisdictions.
- Identify, address, and resolve complex legal and compliance issues throughout the organization.
Qualifications:
- 5-10+ years of post-JD (Juris Doctor) experience in corporate contracts counsel role.
- 3-5+ years of post-JD (Juris Doctor) experience.
- Strong experience drafting, reviewing, revising, and negotiating general and complex corporate agreements.
- Proven history of success working with a variety of corporate agreements, including NDAs, SaaS agreements, subscriptions, market data agreements, leases, engagement letters with auditors, consulting agreements, data protection agreements, fund operations agreements, employment search agreements, and event agreements.
- Excellent written and verbal communication
- Great organization, prioritization, and time management skills
- Ability to work independently and collaboratively
- Strong technical skills and proficiency in Microsoft Office Suite
